Legal Counsel
Role Overview The In-House Legal Counsel will serve as the company’s primary legal advisor, supporting commercial growth while managing legal risk across cybersecurity operations, client engagements, regulatory compliance, intellectual property, and corporate governance. This role requires a hands-on attorney who can work cross-functionally with leadership, sales, product, engineering, and threat intelligence teams to provide practical legal guidance in a rapidly evolving regulatory landscape.
Key Responsibilities
Commercial & Contracting Draft, review, and negotiate: SaaS agreements Master service agreements (MSAs) NDAs Vendor agreements Government and enterprise procurement contracts Data processing agreements (DPAs) Support sales and partnership negotiations while balancing legal and business risk. Build scalable contract templates and approval workflows. Cybersecurity & Regulatory Compliance Advise on cybersecurity, privacy, and technology regulations including: GDPR CCPA/CPRA PIPEDA SOC 2-related legal requirements International data transfer regulations Provide legal guidance on cyber threat intelligence collection, monitoring, and data handling practices. Support incident response and breach notification obligations. Product & Operational Support Partner with product and engineering teams on legal considerations related to: Threat intelligence platforms AI/ML-driven analytics Data licensing Open-source software usage Security research activities Review marketing and public-facing materials for legal compliance. Corporate & Governance Manage corporate governance, board documentation, and entity compliance. Coordinate with external counsel on financing, employment, litigation, and international matters. Support fundraising, investor due diligence, and strategic transactions. Risk Management Develop internal policies and compliance programs. Monitor evolving cyber, privacy, AI, and technology regulations. Deliver practical legal training to internal teams.
Qualifications
Juris Doctor (JD/LLB) and active membership in good standing with a relevant bar association. 4–10+ years of legal experience, preferably with: Technology startups Cybersecurity companies Privacy/data protection law SaaS or enterprise software Strong experience negotiating technology and commercial contracts. Familiarity with cyber threat intelligence operations and security industry practices is highly preferred. Knowledge of international privacy and cybersecurity frameworks. Ability to operate independently in a high-growth startup environment. Preferred Experience Experience supporting cybersecurity, threat intelligence, or national security-related organizations. Familiarity with: Incident response Threat hunting Digital forensics Security operations Exposure to government contracting or public sector procurement. Experience with AI governance and emerging technology regulation.
